Item 5.07. Submission of Matters to a Vote of Security Holders
On April 27, 2017, Fifth Street Finance Corp. (the “Company”) held its reconvened 2017 annual meeting of stockholders (the “Annual Meeting”). Set forth below are the two proposals voted upon by the Company’s stockholders at the Annual Meeting, as set forth in the Company’s Definitive Proxy Statement on Schedule 14A filed with the U.S. Securities and Exchange Commission (the “SEC”) on February 21, 2017, as supplemented by the Definitive Additional Materials filed with the SEC on April 7, 2017, together with the voting results for each proposal. As of February 9, 2017, the record date for the Annual Meeting, 140,960,651 shares of the Company’s common stock were outstanding and entitled to vote.
Proposal 1. The Company’s stockholders elected the following two nominees to serve on the Board of Directors of the Company, each of whom will serve until the 2020 annual meeting of stockholders, or until his successor is duly elected and qualified: Brian S. Dunn and Byron J. Haney. The tabulation of votes was:
