On March 13, 2014, Fifth Street Finance Corp. (the Company) jointly held its 2014 Annual Meeting of Stockholders (the Annual Meeting) with Fifth Street Senior Floating Rate Corp. At the Annual Meeting, the Companys stockholders approved two proposals. The proposals are described in detail in the joint proxy statement of the Company and Fifth Street Senior Floating Rate Corp. dated January 31, 2014. As of January 14, 2014, the record date, 139,137,757 shares of common stock were eligible to vote.
Proposal 1. The Companys stockholders elected three directors of the Company, each of whom will serve until the 2017 Annual Meeting of Stockholders, or until their successors are duly elected and qualified. The tabulation of votes was:
