Item 5.07 Submission of Matters to a Vote of Security Holders.
On April 4, 2012, Fifth Street Finance Corp. (the Company) held its 2012 annual meeting of stockholders (the Annual Meeting). At the Annual Meeting, the Company submitted three proposals to the vote of the stockholders, which are described in detail in the Companys proxy statement dated February 15, 2012. As of February 6, 2012, the record date, 82,375,832 shares of common stock were eligible to vote.
Proposal 1. The Companys stockholders elected two directors of the Company, each of whom will serve until the 2015 annual meeting of stockholders, or until their successors are duly elected and qualified. The tabulation of votes was:

Proposal 3. The Companys stockholders did not approve a proposal to amend the investment advisory agreement between the Company and its investment adviser, Fifth Street Management LLC (the investment adviser), in order to change the structure of the income incentive fee payable to the investment adviser in a manner that would reduce the hurdle rate required for the investment adviser to earn, and be paid, the income incentive fee.
